AD Ports Group to buy CLI for $835 million in Brazil

AD Ports Group has agreed to acquire a controlling stake in Corredor Logística e Infraestrutura (CLI) in Brazil for $835 million.

CLI operates at the Port of Itaqui in Maranhão and the Port of Santos in São Paulo, and the deal remains conditional on regulatory and antitrust approvals.

CLI’s Brazilian port footprint and current shareholder structure

CLI is an independent Brazilian port logistics platform with operations at the Port of Itaqui in Maranhão and the Port of Santos in São Paulo. The company is currently controlled equally by a private equity fund managed by IG4 Capital and an infrastructure fund managed by Macquarie Asset Management.

In this transaction, IG4 Capital and Macquarie Asset Management are the sellers.

Transaction terms and deal timeline

The acquisition is valued at $835 million. Completion of the deal remains subject to regulatory and antitrust approvals.

AD Ports Group’s stated rationale: agri-foods and Latin America expansion

AD Ports Group said the deal will strengthen its fast-growing agri-foods business and create a platform for expansion across Latin America. The acquisition is expected to finance CLI’s next phase of growth, and is described as AD Ports’ first major move into South America.

Captain Mohamed Juma Al Shamisi, managing director and group CEO of AD Ports Group, called the acquisition a “game changer” for the company and said the transaction extends AD Ports’ international reach for the first time into Latin America while deepening its agri-foods activities.

CLI’s recent performance and prior ownership context

CLI handled 17 million tonnes of agri-bulk cargo in 2025, generating revenues of $178 million and EBITDA of $98 million. IG4 acquired CLI in 2020 when the company was facing a complex financial situation and led the restructuring after that acquisition.

In 2022, Macquarie joined as an equal controlling shareholder to finance the acquisition of grain and sugar terminals in Santos from Rumo.
